Terms of Service

These Terms of Service (“Terms”) govern the provision of services by Eternal Labs (“we”, “our”, “us”). By engaging our services, you (“client”, “you”) agree to these Terms.

1. Services

We provide web development, system design, data analytics, and related digital services as agreed in writing.

2. Scope of Work

  • Work begins once scope, pricing, and requirements are agreed
  • Any changes to scope may require a new quote
  • Additional work outside scope will be billed separately

3. Client Responsibilities

  • Provide accurate information, assets, and access
  • Respond to requests in a timely manner
  • Review and approve work within reasonable timeframes

Delays in client input may impact timelines and delivery.

4. Payments

Payments are processed via Stripe and other secure, PCI-compliant providers.

  • Payment terms (deposit, milestones, or full upfront) will be agreed before work begins
  • Invoices must be paid within the agreed timeframe
  • Late payments may result in paused work
  • Final deliverables are released after final payment unless otherwise agreed

5. Refunds

Due to the nature of custom digital services:

  • Deposits are non-refundable once work has commenced
  • Completed work is non-refundable
  • Partial refunds may be considered at our discretion for incomplete work

6. Intellectual Property

  • All work remains our property until full payment is received
  • Upon full payment, ownership of agreed deliverables transfers to the client
  • We retain the right to reuse non-confidential components, frameworks, and methods

7. Third-Party Services

Projects may rely on third-party services (e.g. hosting, APIs, payment providers). We are not responsible for outages, changes, or failures of third-party systems.

8. Timelines

  • Timelines are estimates, not guarantees
  • Delays may occur due to scope changes or external factors
  • Work may pause if required inputs or payments are not provided

9. Limitation of Liability

To the maximum extent permitted by Australian law, Eternal Labs is not liable for:

  • Indirect or consequential losses
  • Loss of revenue, data, or business opportunities
  • Issues arising from third-party services

10. Termination

Either party may terminate the engagement in writing.

  • Work completed up to termination must be paid for
  • Access to work may be withheld until payment is settled

11. Confidentiality

Both parties agree to keep confidential information private unless disclosure is required by law.

12. Governing Law

These Terms are governed by the laws of Australia.

13. Changes to Terms

We may update these Terms from time to time. Continued use of services constitutes acceptance of updated Terms.
